Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") are a binding agreement between you and Stoq ("Stoq", "we", "us"). By accessing or using the Stoq platform you agree to be bound by these Terms. If you are using Stoq on behalf of an organisation, you confirm that you have authority to bind that organisation.

2. The service

Stoq provides inventory, point-of-sale, invoicing, and related business-management software. Features available to you depend on the plan you select. We may update, add to, or remove features over time.

3. Accounts and credentials

You must provide accurate information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

4. Acceptable use

You agree not to misuse the service. In particular, you must not:

  • use the service for unlawful, fraudulent, or deceptive activity;
  • send spam, malware, or other harmful content;
  • infringe the intellectual property or privacy rights of others;
  • probe, scan, scrape, or interfere with the security or integrity of the service;
  • reverse engineer, resell, or redistribute the service except as permitted by law.

5. Intellectual property

Stoq and all related software, documentation, and branding remain our property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes during your subscription. Content you upload remains yours; you grant us a limited licence to host and process it solely to provide the service.

6. Payment, billing and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms in addition to these Terms.

Subscription fees are charged in advance on a recurring basis (monthly or annually, as selected) and renew automatically until cancelled.

7. Service level and warranties

We work to keep Stoq available and reliable but do not guarantee that the service will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Suspension and termination

We may suspend or terminate your access to the service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time through your account settings or via Paddle. On termination, your right to use the service ends and we may delete your data after a reasonable export window.

9. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or personal injury).

10. Indemnity

You will indemnify and hold Stoq harmless from claims arising out of content you upload, your unlawful use of the service, or your breach of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the service or by email. Continued use of Stoq after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Stoq is established, without regard to its conflict of laws principles. Disputes will be resolved in the competent courts of that jurisdiction.
